Welcome to SnagRx, owned and operated by Modern Metabolic Medicine, Inc. ("Company," "we," "our," or "us"), a Delaware corporation with its principal office at 1811 Silverside Road, Suite 260, Wilmington, New Castle County, Delaware 19180.

I. Acceptance of Terms

By accessing or using the SnagRx platform ("Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a binding legal agreement between you and Modern Metabolic Medicine, Inc.

II. Modification of Terms

We reserve the right to amend or modify these Terms at any time. Any changes will be effective immediately upon posting on the Platform. You are responsible for reviewing these Terms regularly. Your continued use of the Platform after any modifications constitutes your acceptance of the revised Terms.

III. Description of Services

SnagRx provides a technology platform that facilitates:

Telehealth consultations with independent, licensed healthcare providers
Gathering and coordination of medical records
Prescription coordination through third-party pharmacies
Administrative support services
Payment processing

Important: Modern Metabolic Medicine, Inc. does not provide healthcare services directly. We do not practice medicine, and we do not control or direct the medical judgment of independent medical providers or pharmacies that may be accessed through the Platform. All clinical decisions are made solely by licensed healthcare providers.

IV. Eligibility

To use the Platform, you must:

Be at least 18 years of age
Be located in a U.S. state where our services are available
Possess a compatible device capable of accessing the Platform
Have access to a reliable internet connection
Be legally capable of entering into a binding agreement

Services are limited to certain U.S. states. Contact hello@snagrx.com for a current list of available states.

VI. Registration and User Data

To access certain features of the Platform, you must create an account and provide accurate, current, and complete information. Your user information may be used for service delivery, quality improvement, and research purposes in accordance with our Privacy Policy.

VII. User Responsibilities

You are responsible for:

Maintaining the accuracy of your account information
Keeping your password confidential and secure
All activities that occur under your account
Immediately reporting any unauthorized use of your account
Providing truthful and complete medical information

VIII. Restrictions on Use

You agree not to:

Jailbreak, root, or otherwise modify any device used to access the Platform
Share your account credentials with any third party
Use the Platform for competitive analysis or any purpose other than personal use
Attempt to gain unauthorized access to the Platform or its systems
Bypass or circumvent any security measures
Introduce malware, viruses, or other harmful code
Use the Platform in any manner that violates applicable law

IX. License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use only.

X. Healthcare Disclaimer

The Platform is not a substitute for comprehensive medical advice. The information provided through the Platform is for general informational purposes only. Always seek the advice of your physician or other qualified healthcare provider with any questions you may have regarding a medical condition.

XI. Telehealth Consent

By using the Platform's telehealth services, you agree to the separate Telehealth Informed Consent. You understand that telehealth consultations have inherent limitations and may not be suitable for all medical conditions.

XII. Payment Terms

Medical consultation fees are non-refundable once services have been rendered
Prescription medication sales are final once dispensed
Actual charges may vary based on the selected pharmacy and prescribed medications
Medications are shipped by third-party pharmacies and are considered out-of-network
Insurance is unlikely to cover services obtained through the Platform
You are responsible for all fees associated with your use of the Platform

XIII. Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data collection and handling practices.

XIV. Intellectual Property

All content, features, and functionality on the Platform, including but not limited to text, graphics, logos, icons, images, audio, and software, are the property of Modern Metabolic Medicine, Inc. or its licensors and are protected by U.S. and international intellectual property laws.

XV. Third-Party Links

The Platform may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of any third-party sites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of third-party websites.

XVI. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MODERN METABOLIC MEDICINE, INC. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

XVII. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MODERN METABOLIC MEDICINE, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100 USD).

Modern Metabolic Medicine, Inc. disclaims liability for third-party pharmacy performance, medication outcomes, or any acts or omissions of independent healthcare providers.

XVIII. Indemnification

You agree to indemnify, defend, and hold harmless Modern Metabolic Medicine, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses arising out of or relating to your breach of these Terms or your use of the Platform.

XIX. Platform Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice, and without liability to you.

XX. Suspension and Termination

Your rights under these Terms terminate automatically upon any violation. We may suspend or terminate your access to the Platform at any time, for any reason, without prior notice. Certain provisions of these Terms shall survive termination.

XXI. Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved through binding individual arbitration administered in accordance with applicable arbitration rules. You agree that:

All disputes shall be resolved through individual arbitration only
You waive any right to participate in a class action lawsuit or class-wide arbitration
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to our Delaware address

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any litigation not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

XXII. Jury Trial Waiver

TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS.
